Facilitating the establishment of companies by foreigners – amendments to the Code of Commercial Companies

At the end of 2022, amendments to the Code of Commercial Companies facilitating the establishment of companies by foreigners came into force. According to them:

  1. it is no longer mandatory for persons who are not required to have a PESEL number to be entered in the KRS. It is now sufficient only to provide dates of birth in the National Court Register
  2. the obligation of the Minister of Justice to make available model forms of certain contracts in a language other than Polish (most likely it will be English). Templates will be available: general partnership agreement, limited partnership agreement, simple joint-stock company and limited liability company
  3. the obligation for a bank to open a bank account for a limited liability company in organisation. This will fundamentally change the situation in which banks have frequently refused to open a bank account for such companies
